1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of Phramed, a platform operated by Handled Agency LLC, a South Carolina limited liability company ("Phramed," "we," "us"). By creating a Photographer account, you agree to these Terms.
If you are a Client of a Phramed Photographer, meaning you received a gallery link, booked a session, or bought photos, you do not need to agree to these Terms to use those pages. How your data is handled is described in our Privacy Policy, and anything involving payment is also subject to Stripe's own terms.
2. Who can use Phramed
You must be at least 18 and able to form a binding contract to create a Photographer account. Phramed accounts are for professional photographers and studios running their business on the platform.
3. Your account
You are responsible for keeping your password secure and for activity under your account. Tell us immediately at security@phramed.co if you believe your account has been compromised. We may suspend or terminate an account that violates these Terms.
4. Fees and payment
- Gallery subscription: $19 per month, or $200 per year. This includes gallery delivery, the shoot-day planner, booking, your client list, and contract templates. It also includes the ability to sell packages directly through your own connected Stripe account, and Phramed takes no platform fee on those ordinary gallery sales.
- Optional add-ons are sold separately at the prices shown in your studio. They are not included in the base subscription.
- Event photography with face matching: 7% of event sales, collected automatically as a Stripe application fee on your connected account. There is no minimum: if you sell nothing, you pay nothing. Any one-time setup fee is quoted to you in writing before you start and may be nothing at all; we never bill a setup fee you have not already agreed to.
- What the 7% includes: the $19 base gallery subscription. Event Photographers do not separately pay for the base plan. Optional add-ons are not included and are billed separately.
- Billing: subscriptions are currently invoiced by payment link rather than automatic recurring billing. We will tell you before that changes.
- Refunds: fees are non-refundable. You can cancel at any time and keep access through the end of the period you have already paid for. We do not prorate partial periods.
- Price changes: we may change prices with at least 30 days' notice by email to active Photographers. A change never applies to a period you have already paid for.
5. Your content stays yours
You keep all ownership rights to the photos, galleries, shot lists and other content you upload. You grant us a limited license to host, store, transmit and display that content solely to provide the service to you and the Clients you share it with. We do not claim ownership of your photos and we do not use them in our own marketing without your separate, explicit permission.
6. Our software stays ours
Phramed's software, design, and branding are our property or our licensors'. These Terms do not grant you any rights to them beyond what is needed to use the service as intended.
This matters most for event photography. The fees in Section 4 buy onboarding, configuration and access to licensed software that already exists. They are not a commission to build software for you, they are not a development or work-for-hire engagement, and they do not transfer or create any ownership interest in Phramed, its source code, its models, or any part of the platform.
Anything we build, configure or improve while onboarding you remains Phramed's property, including work that is specific to your events. You receive a non-exclusive, non-transferable right to use the platform for as long as your account is active. Nothing in your fees, and nothing in any statement of work, proposal or quote, changes that unless we have both signed a separate written agreement that says so explicitly.
7. Payments through Stripe
You connect your own Stripe account and are responsible for complying with Stripe's terms. Phramed uses Stripe Connect. Payments go directly into your own Stripe account, and we are not the merchant of record for your gallery or package sales. You are solely responsible for refunds, chargebacks and disputes with your own Clients. For event photography under the 7% model, the underlying charge still belongs to your Stripe account and Phramed's fee is collected as a Stripe application fee at the time of the transaction.
8. Your warranties and indemnity
This is the most important section in this document if you use event face matching.
- You represent that you have the right to upload and deliver the photos you place on Phramed, and that doing so does not violate anyone else's rights.
- If you use event face matching: you represent and warrant that, before any event participant's face is processed, you have obtained affirmative, informed, written consent from that participant, or from their parent or legal guardian if the participant is a minor, consistent with applicable law including Texas CUBI and Washington's biometric privacy law.
- Illinois. Phramed does not offer face matching to Illinois residents. This is enforced in the product and is not a setting you or we can switch off for a given event. Do not attempt to work around it.
- You are responsible for your own relationship with your Clients, including your own privacy practices, pricing and communications. Phramed is a tool you use to run your business, not a party to your relationship with your Clients.
You agree to indemnify and hold harmless Phramed, its officers, members and employees from any claim, liability, damage, loss or expense (including reasonable attorneys' fees) arising out of or related to (a) your use of the service, (b) your content, (c) your violation of these Terms, or (d) your violation of any law or third-party right in connection with your use of the service, including specifically any failure to obtain proper consent for biometric data processing under the event face matching feature.
9. Prohibited uses
You will not use Phramed to violate any law, upload content you do not have the right to use, harass, defame or infringe the rights of others, attempt to gain unauthorized access to any part of the service, or use event face matching without the consent described in Section 8.
10. Third-party services
Phramed integrates with Stripe (payments), Resend (email delivery), Google Calendar and Apple iCloud Calendar (optional calendar sync), Amazon Rekognition (event face matching), and Cloudflare (hosting and storage). Your use of these integrations may also be subject to those providers' terms. We are not responsible for the acts or omissions of these third parties.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHRAMED'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO PHRAMED IN THE TWELVE MONTHS PRECEDING THE CLAIM. THIS CAP DOES NOT APPLY TO YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 8, OR TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Termination
You may stop using Phramed and close your account at any time. We may suspend or terminate your account for violating these Terms, including a breach of Section 8. On termination your galleries and public booking pages stop being accessible to your Clients.
After you close your account you have 30 days to request an export of your content before we delete it. Biometric data is not covered by that window: it is destroyed on the schedule in Section 6 of the Privacy Policy regardless of your account status, because that deadline belongs to the participant, not to you.
14. Governing law
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-laws principles. Venue for any dispute is Greenville County, South Carolina.
15. Changes to these terms
We may update these Terms. We will notify active Photographers of material changes by email, and the "Last updated" date above will change. Continuing to use Phramed after a change takes effect means you accept the updated Terms.
